RESOLVED: It is proposed that a committee of 5 persons be established to approve any out-ofcourt settlement. This committee should include 1 non-executive active employee, 1
retired employee, 2 shareholder representatives and 1 customer or public
representative
Supporting statement
SUPPORTING STATEMENT: This committee will ensure that signed out-of-court settlement comply with TD’s objectives and code of
ethics, as well as with the laws and regulations governing Canadian institutions. It will also put pressure on
decision-makers to ensure that decisions are made for the good of employees, shareholders and the public,
and in accordance with the laws and regulations governing financial institutions.
