Resolved clause
Shareholders therefore request that the Board of Directors adopt a policy ensuring that Tesla's AI and Robotics initiatives prioritize and primarily support Tesla’s mission to advance sustainable energy until life on Earth is stable and sustainable.
Whereas clause
Tesla's stated mission is to accelerate the world's transition to sustainable energy. This bold, admirable goal is why many retail shareholders invested, cheered on electric vehicle rollouts, and reluctantly applauded Cybertruck’s retro, inorganic design.

However, recent developments in Tesla’s product roadmap have given shareholders pause. Optimus robots are being taught new tricks faster than a Shiba Inu and there’s already talk of using the Tesla fleet for inference. As Tesla’s AI and robotics initiatives gain momentum, there's growing concern that their applications could drift into areas that don’t accelerate our shared mission.
Supporting statement
To align with Tesla’s mission and shareholder interests, this resolution proposes the following:

Tesla should establish a clear framework for prioritizing AI, robotics, and other technological initiatives in ways that accelerates the world’s transition to sustainable energy, such as optimizing energy systems, scaling renewable energy infrastructure, or enhancing EV production, over ancillary goals.

Substantial resources (e.g., capital, R&D, or workforce allocation) for projects unrelated to the sustainability of Earth—such as developing personal Optimus bots or having Optimus explore the galaxy—should be deferred until Tesla demonstrates significant and measurable progress in its renewable energy goals. Examples of such milestones could include producing and deploying 1,000 GWh of battery capacity annually, achieving major breakthroughs in solar energy adoption, or reducing global greenhouse gas emissions meaningfully. 2

The Board should provide annual updates to shareholders on how Tesla’s AI and robotics projects are accelerating its mission, including specific achievements and resource allocations.
