"“Abstention votes remain relatively high for Mr. Gunn (compared to other directors). While we previously
agreed not to submit similar proposals to a vote following explanations by the corporation, the issue
persists, albeit to a lesser degree. What is the source of this recurring issue? Is it identifiable? Perhaps
addressing these concerns could assist the corporation in resolving the situation and increase support for
its nominee. In any event, the steps taken to address this issue should be clearly disclosed.” "
