Company shareholders urge our Board of Directors to amend the Company’s “Misconduct Clawback” recoupment policy as applied to senior executives, to specify that the clawback policy shall apply (a) if the executive’s conduct resulted in a violation of law or Company policy and caused financial or reputational harm to the Company and (b) when the executive failed or was negligent in his or her responsibility to manage or monitor conduct or risks, and in either case the Company shall disclose to shareholders the circumstances of any recoupment or decision not to pursue recoupment.
