Resolved: Shareholders request that CVS Health Corporation issue a report, prepared at reasonable cost and omitting proprietary or confidential information, assessing whether business decisions involving transgenderism have been fully informed by (1) a definition of “woman” that limits the word to adult females; (2) the risks to females stemming from having biological males forcibly inserted into women’s private spaces and sports under the guise of “transgender rights.”

Whereas: CVS Health Corporation has, as set forth in the supporting statement, made numerous business decisions implicating transgenderism and the rights of girls and women. Whereas: Corporate decisions must be fully informed and making decisions implicating transgenderism and the rights of girls and women are arguably uninformed if the corporation has inaccurately defined "woman" or ignored the risks of forcing males into the private spaces and sports of females.

Supporting Statement: An independent 1792 Exchange report rates CVS as "High Risk" for prioritizing ideological agendas over merit and shareholder value, identifying key red flags in transgender-related policies as follows: 1 1. Opposition to Protective Legislation: CVS has opposed state laws safeguarding parental rights, girls' sports, bathroom facilities, and gendered spaces. It resisted Iowa legislation and the Florida Parental Rights in Education Act, which limits gender identity discussions in early grades. CVS also endorsed the Equality Act, potentially allowing biological males into women's sports and restrooms, and compelling gender-affirming care. These stances insert CVS into divisive politics, risking consumer boycotts and alienating shareholders concerned with women's rights.2 2. Promotion of Gender Ideology via Benefits: CVS covers transgender procedures, such as puberty blockers, hormones, surgeries, travel, and lodging for employees and dependents, including minors. 3 This escalates healthcare costs and exposes CVS to lawsuits amid debates on minor interventions. The Company's "Gender Transition" guide mandates preferred pronouns and bathroom use, potentially compromising women's privacy and safety in shared spaces.4 3. Ideological Partnerships and Ratings: CVS scored 100 on the Human Rights Campaign's (HRC) 2025 Corporate Equality Index, requiring integration of gender ideology into hiring, vendor selection, and marketing.5 CVS discriminates against vendors not promoting these policies. Leadership mandates trainings on transgender issues, fostering employee division. These practices shift focus from core healthcare goals to activism, heightening risks like discrimination suits and reputational harm. The requested women's rights audit will promote risk assessment, transparency, and accountability. We urge a vote FOR this proposal.
