Resolved: That the Board of Directors of Clean Energy Fuels Corp. shall engage an independent financial advisor to conduct a comprehensive strategic review of the Company's operations, capital structure, and market opportunities, and report the findings to shareholders within six months. The review should include but not be limited to: 1. Evaluation of capital allocation policies to ensure optimal return on invested capital. 2. Assessment of potential partnerships, divestitures, or acquisitions that could enhance long-term growth and profitability. 3.
